Transaction Services Department assists firms in mergers and acquisitions process. My tasks are:
- Assistance to multinational buyers in performing due diligence investigation and financial analysis upon request, with the purpose of detecting potential business risks or opportunities that can be negotiated between buyer and seller
- Performance of quality of earnings and quality of assets analysis, aiming the definition of the normalized earning / assets of the target business as the basis for purchase price settlement
Performance of a high-level analysis of the forecast and budget of the target company and its sustainability
- Performance of analysis of the target company’s compliance with Mexican GAAP
- Assistance in business divestiture via a sell-side financial due diligence
- Assistance in post-transaction matters such as purchase price adjustments, working capital normalization, and other
- Performance of a high-level analysis of the target's business strategy and its market positioning.
